Contributed Materials

 

We welcome all contributions to our materials. However, we need that all contributors agree to to the IP Transfer Agreement indicated below. This allows us, for example, to:

  • preserve our freedom and flexibility to use those materials in various ways  (e.g.: to created printed versions of the wiki, or educational videos, or promotional leaflets, or powerpoint presentations)
  • be able to make them available on different channels (Youtube, printed distributions, retail, etc.),
  • be able to create derived works from them (including translations),
  • be able to use the materials commercially for funding purposes.

IP Transfer Agreement

The user willing to contribute materials (henceforth The Author) to the Agora Speakers International Foundation  (henceforth Agora) declares that:

  1. The Author transfers and assigns exclusively to Agora all Author’s right, title, and interest in the contributed materials, including, without limitation, the copyright therein.  These rights include without limitation mechanical, electronic and visual reproduction; electronic storage and retrieval; and all other forms of electronic publication or any other types of publication including all subsidiary rights.
     
  2. The Author warrants that the materials are original work and do not infringe upon any copyright, contain no libelous or otherwise unlawful statements, and do not otherwise infringe on the rights of others, and that any necessary permission to quote from another source has been obtained.
     
  3. The mere submission of any materials does not guarantee that they will be used. If Agora explicitly indicates that it does not intend to use those materials, or if the materials have not been used by Agora in any way in the course of one year after their submission, all intellectual property rights will automatically revert back to the Author.
     
  4. Each of the parties acknowledges and agrees that it has not entered into this Agreement in reliance on any statement or representation of any person (whether a party to this Agreement or not) other than as expressly incorporated in this Agreement.
     
  5. No variation of this Agreement shall be valid unless it is in writing and signed by or on behalf of each of the parties to this Agreement
     
  6. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation including non-contractual disputes or claims shall be governed by and construed in accordance with the laws of Spain. Each party irrevocably agrees to submit to the exclusive jurisdiction of the courts of Spain over any claim or matter arising under or in connection with this Assignment.
